These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and NOQEN, a DBA of CLAYDEX Consulting Partners LLC (claydex.io) ("we," "us," "our," or "the Company"), governing your access to and use of the website https://noqen.com (the "Site"), our mobile application, and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

1. ABOUT OUR SERVICES

NOQEN provides administrative management consulting services to help international individuals establish their financial and business presence in the United States. Our services include, but are not limited to:

  • Document Processing Assistance: ITIN applications, EIN applications, ITIN renewals
  • Business Formation: LLC creation and filing assistance across multiple US states
  • Address Services: US mailing address, premium address with mail relay, business address
  • Compliance Filings: BOIR, BE-12, BE-13, Annual IRS Filing, Annual State Filing
  • Administrative Support: Registered agent services, certificate of good standing, business phone number
  • Service Bundles: Pack Essentiel and Pack Investisseur combining multiple services

IMPORTANT NOTICE: NOQEN provides administrative management consulting services ONLY. We are NOT financial advisors, legal advisors, tax advisors, or judicial advisors. We assist solely with paperwork and administrative processes. No results or outcomes are guaranteed. You bear full responsibility for your choices and compliance with the laws applicable in your jurisdiction.

2. ACCOUNT REGISTRATION

To use our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

Each account is associated with one or more organizations. All service applications and documents are linked to your organization, not directly to your personal account.

3. SERVICES AND ORDERS

When you purchase a service through our platform:

  • You submit the required information and documents for the service you have selected
  • You authorize us to act on your behalf solely for the administrative processing of your order
  • You acknowledge that processing times vary by service and depend on factors outside our control (government agencies, third parties, etc.)
  • You understand that we do not guarantee specific outcomes from any government agency

Service Bundles (Packs): Our Pack Essentiel and Pack Investisseur combine multiple services at a bundled price. Each component of a pack is processed independently. The completion of one component does not guarantee the completion of others.

4. PRICING AND PAYMENT

  • All prices are listed in US Dollars (USD) and are displayed on the Site at the time of purchase
  • Prices may change at any time without prior notice; however, any price change will not affect orders already placed
  • Payment is processed securely through Stripe, our third-party payment processor. We do not store your full credit card information on our servers
  • By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy
  • Payment is due in full at the time of purchase unless otherwise specified
  • All subscription plans (Pro, Diamond, Ultra) are billed on a recurring basis according to the billing cycle selected

5. REFUND POLICY

  • Before work begins: If we have not yet started processing your service request, you may request a full refund by contacting us at contact@noqen.com
  • After work has begun: Once administrative processing has started (e.g., documents have been submitted to a government agency, filings have been initiated), refunds are generally not available, as third-party fees and processing costs are typically non-recoverable
  • Service Bundles: For Pack Essentiel and Pack Investisseur, refunds are evaluated on a per-component basis depending on which components have been started
  • Subscription Plans: You may cancel your subscription at any time through the billing portal. Cancellations take effect at the end of the current billing period. No prorated refunds are provided for partial billing periods

All refund requests must be submitted in writing to contact@noqen.com. We will evaluate each request on a case-by-case basis and respond within 5 business days.

6. SERVICE DELIVERY AND TIMELINES

  • Estimated timelines for each service are provided as general guidance only and are not guaranteed
  • Processing times depend on factors including but not limited to: government agency response times, completeness of information provided by you, and third-party dependencies
  • We will keep you informed of progress through your dashboard, email notifications, and push notifications (if enabled)
  • Documents and deliverables will be made available through your secure account dashboard

7. YOUR RESPONSIBILITIES

As a user of our Services, you are responsible for:

  • Providing accurate, complete, and truthful information on all applications and forms
  • Providing valid identity documents when required
  • Responding promptly to requests for additional information or documents
  • Complying with all applicable US and international laws
  • Understanding that you are solely responsible for how you use any documents, numbers, or filings obtained through our Services
  • Maintaining the confidentiality of your account credentials

You acknowledge that providing false information on government applications may constitute fraud and could result in serious legal consequences for which we bear no responsibility.

8. INTELLECTUAL PROPERTY

All content on the Site and in our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of NOQEN or its licensors and is protected by US and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit our content without our prior written consent.

9. USER CONTENT AND DOCUMENTS

  • You retain ownership of all documents and information you submit through our Services
  • By uploading documents, you grant us a limited, non-exclusive license to use, store, and process those documents solely for the purpose of delivering the Services you have requested
  • We will not sell, share, or use your documents for any purpose other than fulfilling your service requests
  • Documents are stored securely and are subject to our Privacy Policy
  • You may request deletion of your documents and personal data at any time through your account settings or by visiting our Delete Personal Data page

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOQEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from decisions you make based on information or services provided by us
  • Any government agency denials, delays, or adverse decisions
  • Any tax consequences, penalties, or fines resulting from how you use our services or the documents obtained through us

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

11. DISCLAIMER OF WARRANTIES

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • Our Services will be uninterrupted, timely, secure, or error-free
  • Any specific outcome will result from the use of our Services
  • Government agencies will approve any application or filing we process on your behalf

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless NOQEN and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law
  • Any information or documents you provide through the Services
  • Any dispute between you and a third party arising from the Services

13. TERMINATION

  • By You: You may terminate your account at any time through your account settings or by contacting us
  • By Us: We may suspend or terminate your account at any time, with or without cause and with or without notice, if we believe you have violated these Terms, our Acceptable Use Policy, or any applicable law

Upon termination:

  • Your right to use the Services will cease immediately
  • We may retain certain data as required by law or for legitimate business purposes (see our Privacy Policy)
  • Any pending service orders may be cancelled, subject to our Refund Policy

14. ACCEPTABLE USE

Your use of our Services is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree to comply with all provisions of the Acceptable Use Policy.

15. PRIVACY

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. GOVERNING LAW AND DISPUTES

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Broward County, Florida. You consent to the personal jurisdiction of such courts.

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at contact@noqen.com. We will attempt to resolve any dispute within 30 days of receiving your written notice.

17. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

For material changes, we will make reasonable efforts to notify you via email or through the Services.
